1. Governing Framework
These Terms govern access to and use of the services provided by Mary Dinah Hotel Collection Limited in its capacity as a hospitality distribution, representation, and connectivity partner.
2. Nature of Services
The Company operates exclusively as a B2B hospitality distribution intermediary and systems integration platform. It provides:
GDS onboarding and management;
OTA connectivity and channel distribution;
rate, inventory, and content management support;
advisory services relating to global distribution optimisation.
The Company does not act as a travel agent to end-users.
3. Eligibility
Access to the Company’s services is limited to duly incorporated hospitality entities and authorised representatives acting with full legal authority.
4. Partner Representations and Warranties
Each partner represents and warrants that:
all information supplied is accurate, complete, and non-misleading;
it maintains full authority to enter into binding commercial arrangements;
it complies with all applicable hospitality, tax, and regulatory obligations;
it maintains operational capability to honour all reservations generated through distribution channels.
5. Prohibited Conduct
Not party shall:
manipulate or misrepresent inventory, pricing, or availability;
engage in fraudulent or abusive booking activity;
interfere with system integrations or distribution channels;
attempt unauthorised access to any system or platform.
6. Intellectual Property
All intellectual property rights in the Company’s systems, processes, branding, and documentation remain the exclusive property of Mary Dinah Hotel Collection Limited. No rights are granted except as expressly stated in a written agreement.
7. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for:
loss of revenue, bookings, or commercial opportunity;
third-party system failures or downtime (including GDS/OTA platforms);
market conditions or demand fluctuations;
indirect, consequential, or punitive damages.
8. Variation
The Company reserves the right to amend these Terms where operational, legal, or regulatory requirements necessitate such amendment. Continued use of services constitutes acceptance of any revised Terms.
9. Governing Law
These Terms shall be governed by the applicable laws of the jurisdiction in which the Company is incorporated, unless otherwise stated in writing.
